Terms of Service

1.Acceptance of Terms

By accessing or using CopyUp, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

2.System Nature & Purpose

CopyUp is a software tool that helps users plan, generate, schedule, and publish marketing and social content across connected channels. The Service uses artificial intelligence to draft text and, in some cases, images based on the inputs, prompts, goals, and brand information you provide.

CopyUp is an assistive system intended to support human review and decision-making. It does not provide professional, legal, financial, medical, or other regulated advice, and it is not a substitute for your own judgment.

3.User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials and all activity under your account.
• The accuracy, legality, and appropriateness of the inputs, prompts, and brand materials you provide.
• Reviewing and approving all AI-generated content before it is published.
• Ensuring you hold the rights and permissions necessary for any content, images, trademarks, or data you upload or publish.
• Complying with all applicable laws and the rules of any platform you connect or publish to.

4.AI Content Disclaimer

Content produced by CopyUp is generated by automated AI models and may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable for your purpose. AI output can occasionally produce statements that are factually wrong (“hallucinations”) or resemble existing works.

You are solely responsible for reviewing, editing, fact-checking, and verifying any AI-generated content before relying on it or publishing it. CopyUp makes no warranty that generated content is accurate, original, non-infringing, or fit for any particular purpose.

5.Publishing Responsibility

When you schedule or publish content through CopyUp, you authorize the Service to post that content to the third-party accounts you have connected, on your behalf, at the times you configure.

You remain fully responsible for everything published from your account, including scheduled and automatically published posts. You are responsible for monitoring your scheduled queue and for ensuring that published content complies with applicable laws and the terms and community guidelines of each destination platform. CopyUp is not responsible for the consequences of content you choose to publish.

6.Third-Party Platforms

CopyUp integrates with third-party platforms and services (for example, TikTok, YouTube, LinkedIn, Instagram, Facebook, X, Reddit, Medium, WordPress, Shopify, Wix, and others) through their official APIs. Your use of those platforms is governed by their own terms of service, developer policies, and privacy policies, and you must comply with them.

• You authorize CopyUp to access and act on a connected account only to the extent needed to provide the features you enable (such as retrieving your profile, listing content, and publishing posts you create).
• You may disconnect a platform at any time, which revokes CopyUp’s access for future actions.
• Third-party platforms may change, limit, or discontinue their APIs at any time, which can affect or disable related features. CopyUp is not responsible for outages, rejections, rate limits, or policy decisions made by those platforms.
• CopyUp does not sell access tokens or platform data and uses platform data only to provide the Service to you.

7.Intellectual Property

As between you and CopyUp, you retain ownership of the inputs you provide and, to the extent permitted by applicable law and the terms of the underlying AI providers, the content generated for you through the Service (“Your Content”). You grant CopyUp a limited license to process Your Content solely to operate and improve the Service and to deliver the features you request.

The Service itself—including its software, design, branding, and underlying technology—is owned by CopyUp and its licensors and is protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works of the Service except as expressly permitted.

8.Subscription & Billing

Certain features are offered on a paid subscription basis. Fees, billing intervals, and plan limits are described at the point of purchase. Unless stated otherwise, subscriptions renew automatically for the same period until cancelled.

• You authorize us and our payment processor to charge your payment method for applicable fees and taxes.
• You may cancel at any time; cancellation takes effect at the end of the current billing period, and access continues until then.
• Except where required by law, fees are non-refundable and unused allowances do not carry over.
• We may change pricing or plan features with reasonable advance notice; changes apply to the next billing cycle.

9.Acceptable Use

You agree not to use the Service to create, schedule, or publish content that:

• Is unlawful, fraudulent, deceptive, defamatory, harassing, hateful, or threatening.
• Infringes intellectual property, privacy, publicity, or other rights of any party.
• Contains spam, malware, or attempts to manipulate, deceive, or artificially inflate engagement.
• Violates the terms, policies, or community guidelines of any connected third-party platform.
• Impersonates any person or entity or misrepresents your affiliation.

You also agree not to misuse the Service, including by interfering with its operation, bypassing access controls or rate limits, or using it to build a competing product.

10.Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for CopyUp or others, or fail to pay applicable fees, and we will use reasonable efforts to notify you where appropriate.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive—such as intellectual property, disclaimers, and limitation of liability—will survive termination.

11.Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated output.

To the maximum extent permitted by law, CopyUp and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service or any content generated or published through it. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to CopyUp for the Service in the twelve (12) months before the event giving rise to the claim.

12.Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14.Methodology Overview (Optional)

CopyUp generates content using third-party large language models and image models. The Service builds prompts from the goals, topics, brand voice, and audience details you provide, then produces draft content for your review. Scheduling and publishing are performed only against the platform accounts you explicitly connect, using those platforms’ official APIs, and only for the actions you configure.

AI output is probabilistic and may vary between runs. CopyUp does not guarantee any particular outcome, reach, ranking, or engagement, and all generated content is subject to your review and approval before publication.
